1. Scope of Services
Klicketh is a multi-service trade platform. By using this Platform, you acknowledge that we operate in three capacities:
• Direct E-commerce: We sell and ship inventory directly to consumers.
• Logistics Provider: We coordinate the storage and movement of goods via third-party carriers.
• Trade Intermediary: We facilitate B2B sourcing and structured trade between North America and Ethiopia.
2. E-commerce & Sales Terms
• Product Availability: We reserve the right to limit quantities or cancel orders due to inventory errors or pricing inaccuracies.
• Title of Goods: For direct sales, title and risk of loss pass to you upon our delivery of the goods to the carrier (FCA Ontario, Incoterms 2020).
• Returns: Per our Return Policy, coffee and perishable food items are non-returnable for health and safety reasons unless defective. Non-perishables must be returned in original packaging within [30] days.
3. Logistics & Shipping
• Carrier Liability: Klicketh is not a carrier. We engage third-party couriers (UPS, FedEx, DHL, etc.). Our liability for loss or damage in transit is limited to the amount recoverable from the carrier’s insurance.
• International Shipments: You are the Importer of Record. You are responsible for all customs duties, import taxes (VAT/GST), and compliance with local laws in the destination country.
• Delays: Klicketh is not liable for “consequential damages” (lost profits) due to shipping delays, customs holds, or “Force Majeure” events.
4. Intermediary & Sourcing Services
• Verification: While we verify suppliers, Klicketh does not warrant the merchantability of third-party goods. We act as a facilitator to ensure documentation alignment and trade coordination.
• Sourcing Fees: Fees paid for “Sourcing Solutions” or “Intermediary Coordination” are earned upon the successful introduction or documentation filing and are non-refundable.
5. Payments & Financial Compliance
• Secure Processing: Payments are handled by Stripe. We do not store credit card data.
• Taxes: Canadian residents will be charged GST/HST based on their province. International orders are zero-rated for Canadian tax but may incur local duties.
• Fraud Prevention: We reserve the right to flag and cancel transactions that appear high-risk or involve sanctioned entities.
6. Health, Medical & Food Safety Disclaimer
• Consumer Responsibility: For wellness or medical products sourced through our platform, you acknowledge that Klicketh is an intermediary. You must verify that products meet your local regulatory standards (e.g., Health Canada or FDA) before use.
• No Medical Advice: Content on this platform is for informational purposes and is not medical advice.
7. Limitation of Liability & Indemnification
To the fullest extent permitted by the laws of Ontario:
• Klicketh’s total liability for any single claim shall not exceed the amount paid for the specific order or service in question.
• You agree to indemnify Klicketh against any legal claims arising from your breach of import/export laws.
8. Dispute Resolution
These Terms are governed by the laws of Ontario, Canada. Any legal action must be filed in the courts of Toronto, Ontario.
